Please read these Terms & Conditions carefully before placing an order.

These Terms & Conditions distinguish between:
- Consumer purchases, made primarily for personal use; and
- Business-to-business (“B2B”) purchases, made in the course of a trade, business, craft or profession.
Different legal rights and contractual provisions may apply depending on the nature of the transaction.

We also operate a wholesale and commercial supply business serving customers in the UK and internationally.

Adding a product to your basket does not guarantee that the product will remain available until checkout is completed.

5. Prices

6. Pricing Errors

If we identify an obvious pricing or product-information error before an order has been accepted, we may correct the error.
If an error materially affects an order you have placed, we will contact you and explain the position.
Nothing in this section limits your rights under applicable consumer law.
7. Placing an Online Order

- Other information reasonably required to process the order.
You are responsible for ensuring that information supplied to us is accurate and complete.

An order acknowledgement confirms that we have received your order. It does not necessarily mean that we have accepted the order.
8. Formation of the Contract
For online consumer purchases, a contract between you and Soché is formed when we accept your order.
We may decline or cancel an order before acceptance where reasonably necessary, including where:
- A product is unavailable;
- There is an obvious pricing or description error;
- We are unable to deliver to the specified destination;
- Payment cannot be authorised;
- We reasonably suspect fraud or misuse;
- The order appears to have been placed in breach of these Terms; or
- We are unable to fulfil the order for circumstances outside our reasonable control.
Where you have already paid and we cancel an order, we will arrange an appropriate refund.
Your statutory consumer rights are not affected.
9. Payment
Payment must be made using the payment methods made available through our checkout.
Payment may be processed by third-party payment service providers.
We do not normally receive or store your complete payment-card details.
If payment cannot be authorised or is subsequently reversed, we may be unable to process or fulfil the order until valid payment has been received.
For B2B customers, payment terms may instead be governed by an agreed quotation, purchase order, credit arrangement, supply agreement or other commercial contract.
10. Fraud and Payment Security
We may use payment-service and fraud-prevention systems to assess transactions and protect against fraudulent or unauthorised activity.
Where reasonably necessary, we may delay, decline or cancel a transaction for security reasons.
We will not use this provision to unlawfully restrict your statutory rights.
11. Delivery
Delivery arrangements for consumer purchases are governed by our Shipping & Delivery Policy, which forms part of these Terms & Conditions.
The Shipping & Delivery Policy explains matters including:
- Delivery destinations;
- Delivery charges;
- Processing;
- Delivery estimates;
- Tracking;
- Address requirements;
- Delayed or lost deliveries;
- Damaged or incorrect orders; and
- Fulfilment arrangements.
Where you are a consumer, applicable statutory delivery rights remain in force regardless of any delivery estimate provided by us.
12. Third-Party Fulfilment and Logistics
Soché may use third-party providers for:
- Warehousing;
- Fulfilment;
- Inventory management;
- Logistics;
- Order processing;
- Delivery;
- Returns processing; and
- Other operational services.
These providers may process or handle information and products on our behalf.
The use of a third-party fulfilment or logistics provider does not transfer the underlying contractual relationship with the customer where Soché is the seller.
For consumer purchases, your contract remains with Soché.
13. International Consumer Orders
Unless expressly stated otherwise at checkout, our consumer delivery service may be limited to specified destinations.
Where international consumer delivery is offered, additional matters may apply, including:
- Customs requirements;
- Import restrictions;
- Taxes;
- Duties;
- Local product requirements; and
- Delivery restrictions.
Any applicable charges or responsibilities will be communicated where required.
We may decline an order where we reasonably believe that delivery would breach applicable law or regulatory requirements.
14. Consumer Cancellation Rights
If you purchase as a consumer through our online store, you may have a statutory right to cancel your contract within the applicable cancellation period even where the goods are not faulty.

Certain goods may fall within statutory exceptions to cancellation rights, including certain sealed goods that are not suitable for return for health protection or hygiene reasons once unsealed, where the relevant legal conditions apply.
Nothing in these Terms removes or restricts statutory consumer rights.
15. Returns and Refunds

Where you are a consumer, the Returns & Refunds Policy operates alongside your statutory rights.
If there is any conflict between a consumer-facing policy and a mandatory statutory right, the statutory right will prevail.
16. Faulty, Damaged or Incorrect Products
If you receive a product that is:
- Faulty;
- Damaged;
- Incorrect;
- Not as described;
- Of unsatisfactory quality; or
- Not fit for its intended purpose,
please contact us as soon as reasonably practicable.
We may request information such as:
- Order number;
- Photographs;
- Batch or lot information;
- Packaging details; and
- Description of the issue.
This allows us to investigate the issue efficiently.
Consumer statutory rights are not conditional on providing photographs or other evidence where the law does not permit such a condition.
17. Food Products and Product Information
Soché supplies food products, spices, ingredients and related products.
You should carefully review the product information provided before purchase, including where applicable:
- Ingredients;
- Allergens;
- Product specifications;
- Weight;
- Storage information;
- Preparation or use information;
- Country or origin information; and
- Relevant warnings.
Food information may change as products, formulations or packaging are updated.
Always refer to the information supplied with the product where it differs from older website information.
If you have an allergy or specific dietary requirement, you should contact us before purchasing if you require clarification.
We cannot guarantee that a product is suitable for an individual with a specific allergy unless the relevant product information expressly confirms this.

We may moderate or remove content where reasonably necessary, including where it:

- Is abusive;
- Contains personal information;
- Is demonstrably fraudulent;
- Is unrelated to the product or service; or
- Violates applicable platform rules.
We will not falsely represent a review as genuine or manipulate reviews in a manner prohibited by applicable law.
22. B2B and Wholesale Orders
This section applies to customers purchasing products in the course of a trade, business, craft or profession.
Soché supplies commercial customers across areas including:
- Retail;
- Foodservice;
- Hospitality;
- Distribution;
- Import;
- Food manufacturing;
- Industrial applications;
- Private label; and
- Commercial ingredient supply.
B2B transactions may involve:
- Bulk ingredients;
- Retail-ready products;
- Bespoke packaging;
- Private-label products;
- Custom specifications;
- Recurring supply;
- Samples;
- Technical documentation;
- Compliance documentation; and
- Export shipments.
A B2B transaction may be governed by a combination of these Terms, a quotation, purchase order, specification, supply agreement or other written commercial agreement.
Where a signed or otherwise validly agreed commercial contract contains terms that expressly differ from these Terms, the specific commercial agreement will govern to the extent of the inconsistency.
23. B2B Quotations
B2B quotations may specify:
- Product;
- Grade;
- Specification;
- Quantity;
- Packaging;
- Price;
- Currency;
- Minimum order quantity;
- Lead time;
- Delivery terms;
- Payment terms;
- Incoterms;
- Documentation; and
- Validity period.
Unless otherwise stated, a quotation is an invitation to enter into a commercial transaction and is not itself a binding commitment to supply until accepted and confirmed in accordance with the applicable commercial arrangements.
24. B2B Product Specifications
Commercial products may be supplied against agreed specifications.
These may include information relating to:
- Product grade;
- Origin;
- Composition;
- Physical characteristics;
- Microbiological parameters;
- Chemical parameters;
- Residue requirements;
- Treatment;
- Packaging;
- Shelf life; and
- Other technical requirements.
Where a customer requires a particular specification, it is the customer's responsibility to communicate that requirement before the relevant order or agreement is finalised.
Where a specification has been expressly agreed, Soché will use reasonable efforts to supply in accordance with that specification.
25. Samples and Technical Documentation
As part of our B2B process, we may provide:
- Product samples;
- Provisional Certificates of Analysis;
- Technical specification matrices;
- Certificates of Origin;
- Batch information;
- Quality documentation;
- Traceability information;
- Regulatory documentation; and
- Other technical or commercial documents.
The documents supplied will depend on the product, destination, customer requirements and applicable commercial arrangement.
Unless expressly agreed otherwise, technical documents supplied during evaluation do not constitute a guarantee that every future batch will be identical where natural agricultural or ingredient variation is inherent to the product.
26. B2B Minimum Order Quantities and Lead Times
B2B products may be subject to minimum order quantities, production requirements or other commercial thresholds.
Lead times may vary according to:
- Product;
- Availability;
- Quantity;
- Production requirements;
- Packaging;
- Documentation;
- Destination;
- Freight;
- Customs; and
- Customer-specific specifications.
Any applicable MOQ or lead time will normally be communicated through the relevant quotation or commercial agreement.
27. B2B Pricing and Payment
B2B prices may differ from consumer website prices.
B2B payment arrangements may include:
- Payment in advance;
- Payment on order;
- Pro-forma payment;
- Credit terms;
- Deposit arrangements;
- Milestone payments; and
- Other agreed arrangements.
Where credit terms are granted, they may be subject to approval and separate conditions.
Unless otherwise agreed in writing, invoices are payable according to the payment terms stated on the relevant invoice or commercial agreement.
28. B2B Delivery and Freight
B2B delivery may be arranged using:
- Road freight;
- Courier services;
- Air freight;
- Sea freight;
- Third-party logistics providers; and
- Other appropriate transportation arrangements.
The commercial agreement or quotation may specify the applicable delivery terms.
Where Incoterms® are used, the agreed Incoterm and named place will determine the allocation of relevant costs, responsibilities and risk between the parties.
29. International B2B Orders
International commercial orders may involve:
- Export documentation;
- Import documentation;
- Customs declarations;
- Certificates of Origin;
- Product documentation;
- Food or regulatory requirements;
- Duties;
- Taxes;
- Import licences;
- Local compliance requirements; and
- Other destination-specific obligations.
Unless expressly agreed otherwise, the buyer is responsible for complying with applicable import requirements in the destination country and for paying duties, taxes and other import charges allocated to the buyer under the agreed commercial terms.
Where Soché has expressly agreed to arrange particular documentation or customs processes, those responsibilities will be governed by the relevant commercial agreement.
30. B2B Inspection, Shortages and Damage
Commercial customers should inspect shipments promptly after delivery.
If a shipment appears damaged, short, incorrect or materially inconsistent with the agreed order, the customer should notify Soché as soon as reasonably practicable and provide relevant information, which may include:
- Purchase order;
- Delivery note;
- Batch or lot number;
- Photographs;
- Quantity discrepancy;
- Damage description; and
- Relevant transport documentation.
Where a carrier or insurer requires notification within a particular period, customers should also comply with those requirements.
This does not remove any mandatory rights or remedies available under applicable law.
31. B2B Rejection of Goods
A B2B customer should not reject or dispose of goods solely on the basis of an alleged quality or specification issue without giving Soché a reasonable opportunity to investigate, unless immediate action is reasonably required for health, safety, regulatory or other legitimate reasons.
Where a quality issue is reported, we may request:
- Samples;
- Photographs;
- Batch information;
- Storage information;
- Testing results; and
- Other relevant evidence.
Where appropriate, Soché may investigate through its internal quality process or independent testing.
Any agreed commercial remedy may include:
- Replacement;
- Credit;
- Refund;
- Re-performance; or
- Other appropriate resolution.
32. B2B Returns
B2B customers do not automatically receive the statutory consumer cancellation rights that apply to consumer purchases.
Returns of commercial goods are governed by the applicable:
- Quotation;
- Purchase order;
- Supply agreement;
- Commercial contract;
- Agreed specifications; and
- Applicable law.
No B2B product should be returned without prior agreement from Soché unless otherwise required by law or the applicable contract.
Custom-made, private-label, specially packaged or specially procured goods may be subject to specific return restrictions agreed before supply.
33. B2B Recurring Supply
Where Soché and a B2B customer agree to recurring or scheduled supply, the relevant commercial agreement will govern:
- Forecasts;
- Purchase commitments;
- Volumes;
- Lead times;
- Pricing;
- Delivery schedules;
- Minimum order quantities;
- Payment terms;
- Termination; and
- Other commercial requirements.
A forecast does not constitute a binding purchase commitment unless the parties expressly agree otherwise.
34. Confidentiality and Commercial Information
During B2B discussions, the parties may exchange commercially sensitive information.
This may include:
- Pricing;
- Specifications;
- Product requirements;
- Technical information;
- Supply information;
- Forecasts;
- Customer requirements;
- Documentation; and
- Commercial strategy.
Where the parties have entered into a confidentiality or non-disclosure agreement, that agreement will govern the relevant confidential information.
Where no separate agreement exists, each party should use reasonable care when handling commercially sensitive information received from the other.
35. Availability of the Website
We aim to keep soche.co.uk available and functioning properly.
However, we do not guarantee that the website will:
- Always be available;
- Be uninterrupted;
- Be error-free;
- Be completely secure; or
- Be compatible with every device or browser.
We may temporarily suspend or modify the website for:
- Maintenance;
- Security;
- Updates;
- Technical changes;
- Business reasons; and
- Circumstances outside our reasonable control.

37. Our Liability to Consumers
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
In particular, nothing in these Terms affects statutory rights relating to goods being:
- Of satisfactory quality;
- Fit for purpose;
- As described; or
- Subject to any other mandatory consumer protection rights.
We do not exclude or limit liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation; or
- Any liability that cannot legally be excluded or limited.
Consumer terms will be interpreted consistently with applicable consumer protection law.
38. B2B Liability
Where you are purchasing as a business, we will remain responsible for liabilities that cannot lawfully be excluded or limited.
Nothing in these Terms excludes or restricts liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation; or
- Other liability that cannot lawfully be excluded or restricted.
Subject to the above and applicable law, any limitation of liability in a specific B2B agreement will be assessed and applied in accordance with the circumstances and applicable legal requirements.
Where a commercial contract contains a negotiated limitation of liability, that provision will govern to the extent legally enforceable.
39. Events Outside Our Reasonable Control
We will not be responsible for delay or failure to perform an obligation where this is caused by circumstances outside our reasonable control.
Examples may include:
- Natural disasters;
- Extreme weather;
- Fire;
- Flood;
- Epidemic or pandemic;
- War;
- Terrorism;
- Civil disorder;
- Government action;
- Customs restrictions;
- Transport disruption;
- Port disruption;
- Strikes;
- Labour shortages;
- Supplier failure;
- Utility failure;
- Cybersecurity incidents; and
- Significant infrastructure failure.
We will take reasonable steps to minimise the effects of such events.
For consumer orders, this provision does not remove any statutory cancellation, refund or other rights that arise because we are unable to fulfil the contract.
For B2B orders, the consequences of a force majeure event may also be governed by the applicable commercial agreement.
40. Suspension or Cancellation by Soché
We may suspend or cancel an order or commercial relationship where reasonably necessary because of:
- Non-payment;
- Fraud or suspected fraud;
- Material breach of applicable terms;
- Illegal activity;
- Regulatory requirements;
- Product safety concerns;
- Sanctions or export-control requirements;
- Inability to lawfully fulfil an order; or
- Other serious circumstances affecting our ability to perform the contract.
Where a consumer order is cancelled by us for reasons not attributable to the consumer, we will provide any refund or remedy required by law.
For B2B customers, cancellation rights may be governed by the relevant commercial agreement.
41. Privacy
Our processing of personal information is described in our Privacy Notice.
By using the website or purchasing from us, you acknowledge that personal information may be processed as described in that notice.
42. Cookies

43. Changes to These Terms

Changes will not retrospectively alter rights or obligations under an existing contract unless permitted by law or agreed between the parties.

44. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed only to the extent necessary.
The remaining provisions will continue to apply where legally possible.
45. No Waiver
If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.
46. Entire Agreement
For consumer purchases, these Terms, together with the applicable product information, order information, Shipping & Delivery Policy, Returns & Refunds Policy, Privacy Notice and Cookie Policy, form the relevant contractual and informational framework, subject always to mandatory consumer rights.
For B2B transactions, these Terms operate alongside any applicable quotation, purchase order, specification, supply agreement, confidentiality agreement or other commercial contract.
Where a specific written commercial agreement expressly conflicts with these Terms, the specific agreement will govern to the extent of that conflict.
47. Governing Law
These Terms and any dispute arising from them are governed by the law of England and Wales, except where mandatory provisions of applicable law provide otherwise.
Nothing in this clause deprives a consumer of mandatory protections that apply in their place of residence.
48. Jurisdiction
Subject to any mandatory rights available to consumers, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.
Where mandatory consumer law provides a consumer with the right to bring proceedings in another jurisdiction, nothing in these Terms removes that right.
